Showcase/Contract optimization and comparison

Contract optimization and comparison

Contract optimization for negotiation teams: price change alerts as market indices move, each with the supplier's claim against the indexed change, the cost structure and price development, and supplier interactions on a board; and a contract version comparison that highlights clause edits, rates their impact and generates the issues list to review before the redline returns to opposing counsel.

Overview

Suppliers claim price increases citing the market, and the contract's own indexation clause is the last thing anyone checks. When a counterparty returns a redline, the changed clauses are found by reading the whole document again.

The monitor raises an alert when an index tied to a contract moves, and shows the supplier's claim beside the indexed change with the price development since negotiation and every interaction. Preparing the negotiation opens the version comparison: clause by clause, what changed, the impact, and a generated issues list with mitigations for the negotiator to accept or edit before the redline is sent.

Key features

  • Contract version analysis: clause edits identified between versions with their impact on the negotiation.
  • Issue list generation: issues and proposed mitigations for human review before the contract goes back.
  • Configure to any contract: clause segmentation adapted to the contract type.
  • Commodity impact monitoring: claims against indices, cost structure and price development per contract.

Decisions it produces

  • Prepare a negotiation from a price change alert
  • Accept or edit a proposed clause mitigation
  • Send the redline to counsel
  • Close an alert at the indexed change
